Mr. Atotubo is a leading law practitioner in the real estate industry in the Philippines. His clients include Federal Land, Inc., one of the biggest real estate developers in the country with interests and projects in the cities of Manila, Makati, Mandaluyong, Cebu, and the burgeoning province of Cavite. He is counsel to Arthaland Corporation, publicly listed in the Philippine Stock Exchange, the pioneer developer of premium green and sustainable projects. Mr. Atotubo is counsel to GT Capital Holdings, Inc. (PSE GTC) for its purchase of a majority stake in Property Company of Friends, Inc. (Profriends), one of the largest real estate developers in the Philippines. Mr. Atotubo’s know-how on the industry runs the full gamut of land acquisition, township development, construction and operation, enabling him to provide services only few in the Philippines can offer.
Mr. Atotubo is a noteworthy adviser on mergers and acquisitions, joint ventures, restructurings, disposals and regulatory compliances. Mr. Atotubo has advised leading Philippine and foreign conglomerates in their acquisitions in the Philippines. Mr. Atotubo is counsel to Marubeni Corporation of Japan in its acquisition of a strategic stake in Maynilad Water Services, Inc. one of the largest water concessionaires in the Philippines. Mr. Atotubo is counsel to GT Capital Holdings, Inc. in its acquisition of a stake in Metro Pacific Investments Corporation, one of the leading conglomerates in the Philippines with interests in power, water, tollways, healthcare, rail and logistics.
Mr. Atotubo has extensive experience in privatization, leading teams for the purchase of assets of the National Power Corporation in the latter’s privatization program. Mr. Atotubo is a sought-after adviser for public-private partnerships arrangements, acting as counsel to clients, including Metro Pacific Resource Recovery Corporation in its ventures with local governments for waste-to-energy treatment plants and IP Commerce Ventures, Inc. in its ventures with Philippine government agencies. Mr. Atotubo was counsel to the Asian Development Bank for the latter’s development advisory services for the Bases Conversion and Development Authority’s water infrastructure development in New Clark City in the Philippines.
Mr. Atotubo advises clients on their construction requirements, with a focus on engineering, procurement and construction (EPC) contracts for power plants, water treatment plants and other large-scale construction projects. Mr. Atotubo has negotiated EPCs for a number of power industry players, including SN Aboitiz Power – Magat, Inc. (hydroelectric power plants), Citicore Power, Inc. (solar power plant), Prime Meridian PowerGen Corporation (natural-gas fired power plant) and PowerSource Philippines Energy, Incorporated (coal-fired power plant).
Mr. Atotubo was the Philippine counsel to a consortium of foreign commercial lenders, export credit agencies and a multilateral financial institution, including the Asian Development Bank, Sumitomo Mitsui Banking Corporation, Korea Export Import Bank, and ING Asia in the project financing of a 200 MW coal-fired power plant in Naga City, Cebu, Philippines. As lenders’ counsel, Mr. Atotubo provided advice on the development of the power plant, including advising on the EPC contract, O&M contract, land acquisition and foreshore lease contracts, and fuel supply agreements.
Mr. Atotubo acts as corporate secretary for several Philippine companies engaged in the power, real estate, water distribution and manpower services sectors.
