Jonathan P. Serrano

Mr. Serrano advises project developers in various industries, including energy, infrastructure, and real estate, on their financing transactions with both local and foreign lenders.  He has extensive experience in acting as counsel for foreign clients in major merger and acquisition transactions. He advises both foreign and local clients on structuring of investments and joint venture and partnership issues.  He has been been engaged as a public-private partnership Key Legal Expert (Philippines) of the Philippine Public-Private Partnership Center in connection with the development of critical infrastructure facilities.   Mr. Serrano currently acts as corporate secretary for several Philippine companies engaged in energy, infrastructure, real estate, and medical services, and regularly advises them on corporate governance and regulatory issues.

In addition to his transactional and advisory work, Mr. Serrano has been a resource speaker on financing Philippine infastructure and power projects in various conferences.  He has been consistently cited as a leading lawyer in the field of project finance by the International Financial Law Review (“IFLR”) 1000.  He was recognized as Project Finance Lawyer of the Year (Philippines) in 2020 by Leaders in Law.  He is also currently a Professor of Philippine Corporation Law.

• Scatec Solar ASA in connection with its acquisition of 100% of Norfund’s interests in SN Power
• Crescent Point Group in connection with its acquisition of an equity stake in each of (i) Del Monte Philippines, Incorporated, and (ii) LBC Express Express Holdings, Inc.
• SNP Netherlands in connection with the restructuring of its investments in several Philippine project companies
• Rockwell Land Corporation in connection with the development of several mixed-use condominium and horizontal projects all over Luzon and the Visayas, Philippines
• First Philippine Holdings, Inc. in connection with a Php12 Billion sale of shares in First Philippine Infrastructure, Inc. to Metro Pacific Corporation
• Manila North Tollways Corporation in connection with the refinancing of its outstanding project finance debt obligations
• SNAP Benguet in connection with the Php15 Billion refinancing of the 105 MW Ambuklao hydropower plant located at Bokod, Benguet, Philippines and the 140 MW Binga hydropower plant located at Itogon, Benguet, Philippines
• SNAP Magat in connection with the Php19 Billion re-financing of the 360 MW Magat hydroelectric power plant located in Ramon, Isabela, Philippines
• Cebu Energy Development Corporation in connection with the Php16 Billion project financing of the construction of its coal-fired power plants in Toledo City, Cebu, Philippines
