Minerva A. Santos

Ms. Santos advises clients in their acquisition of shares or assets of entities in the power, telecommunications and real estate industries, involving negotiated and auction sale processes.  Ms. Santos has represented project sponsors in the entire process of development of power projects, including advising on project documents, EPC contracts, financing and regulatory requirements of the project. Ms. Santos has extensive experience in capital market transactions having represented issuers in their initial public offering, public offering and private placement of debt and equity securities and listing of equity securities with the Philippines Stock Exchange.  She regularly advises clients on various corporate matters such as foreign investments, establishment of presence in the Philippines, structuring and regulatory compliance.

Ms. Santos’ engagements include representation of:

• China Telecom in the bid for the selection by the Philippine government of a new major player in the Philippine telecommunications industry
• Consortium of Marubeni Corporation and Tokyo Electric Power Company in its successful acquisition of the shares in Mirant Asia-Pacific Limited for purposes of ultimately acquiring interests in the 735 MW coal-fired power plant at Isla Grande in Pagbilao, Quezon, Philippines, the 1,200 MW coal-fired power plant at Sual, Pangasinan, Philippines, and the 1,200 MW natural gas-fired combined-cycle power plant at Ilijan, Batangas, Philippines
• Pagbilao Energy Corporation in connection with the expansion of the existing Pagbilao power station, which consisted of the development and financing of a 400 MW (net) coal-fired power plant and associated facilities in the island of Isla Grande in Pagbilao, Quezon, Philippines
• Energy Development Corporation in connection with the development and financing of its 150 MW wind energy project in Burgos, Ilocos Norte, Philippines
• First Gen Corporation in its initial public offering, public offering of bonds and preferred shares
• GT Capital Holdings, Inc. in connection with its public offering of its perpetual preferred shares
• First Gas Power Corporation in connection with the refinancing of the project finance loans of the 1,000 MW Santa Rita natural gas power project in Batangas, Philippines
