Ranulfo Gerardo V. Payos, Jr. is a Senior Partner of the firm.  His practice focuses on Tax, Mergers and Acquisitions, Environment, Mining, Real Estate, Infrastructure and Construction, and Corporate Law.

Mr. Payos advises various local and foreign clients on tax laws, tax structuring, tax advisory, tax assessments and appellate tax litigation.  For commercial law, Mr. Payos extensive experience in dealing with special projects covering energy, regulatory matters, due diligence, competition, gaming and casino, infrastructure, mergers and acquisition as well as in the areas of finance and securities law.

Mr. Payos regularly advises boards of directors and officers on various corporate matters from regulatory filings and structuring of certain transactions to maintenance of corporate books and governance.

Mr. Payos’s engagements include representation of:

  • (i) the Blackstone Group L.P., through its subsidiaries Sithe Global Power, L.P. and Sithe Global Power GP, Ltd., in connection with the indirect sale of its interests in GNPower Dinginin Ltd. Co. (owns a 2×668 MW coal-fired power plant in Bataan, Philippines) to Therma Power, Inc. (“TPI”), a wholly owned subsidiary of Aboitiz Power Corporation.  Puno Law also acted as counsel for World Power Holdings, L.P. and World Power Holdings GP, Ltd, in connection with the indirect sale of its interests in GNPower Mariveles Coal Plant Ltd. Co. (owner of a 604 MW coal-fired power plant in Mariveles, Bataan, Philippines) to TPI.  These transactions combined is worth USD1.2 Billion and is considered as one of the biggest energy related acquisition transactions in recent times. This is also the first major energy related acquisition transaction which was approved by the Philippine Competition Commission
  • (i) Energy Development Corporation and its subsidiaries and affiliates, (ii) subsidiaries and affiliates of the Aboitiz Power Group, (iii) NLEX Corporation in various tax cases
  • Marubeni Corporation in its acquisition of a 20% stake in Maynilad Water, Inc. one of the largest water concessionaires in the Philippines
  • GT Capital Corporation in its acquisition of a 20% stake in Metro Pacific Investments Corporation, one of the Philippines’ largest conglomerates with operations in power and energy, water, tollways and health and technology
  • GT Capital Corporation entry into the affordable housing segment through its acquisition of a 51% stake in PCFI Inc., one of the Philippines largest real estate companies, with over 1,500 hectares of prime land
  • Atlas Consolidated Mining and Development Corporation in the transactions for its wholly-owned subsidiary, Carmen Copper Corporation, for purposes of rehabilitating and further developing its copper mining facility in Cebu, Philippines and rendering it commercially operational

Century Properties Inc. and its subsidiaries, GT Capital Holdings, Inc., GNPower Mariveles Coal Plant Ltd. Co., GNPower Dinginin Ltd. Co. and GNPower Kausawagan Ltd. Co for various financing projects
